Intellectual Property (IP) Protection in Vietnam’s Furniture Industry
In today’s global furniture market, protecting your designs and brand identity is more than important, it’s essential. While outsourcing to Vietnam offers many advantages, including cost-efficiency and craftsmanship, it also presents potential challenges regarding intellectual property protection.

Common Challenge: Design Theft & Copycat Manufacturing:
One of the top concerns companies face is the unauthorized replication of original designs. Even when working with trusted manufacturers, there’s a risk that a factory may produce similar items for other clients or release a variation into the market without permission. Enforcement of IP laws in Vietnam exists, but can be inconsistent in practice.
Best Practices for IP Protection
1. Register Your Designs and Trademarks Locally
Ensure your industrial designs and brand trademarks are registered in Vietnam through the National Office of Intellectual Property (NOIP). This provides the legal foundation needed to assert your rights in case of infringement.
2. Use NNN Agreements (Not Just NDAs)
Instead of standard NDAs, work with legal counsel to draft Non-Disclosure, Non-Use, and Non-Circumvention (NNN) agreements in Vietnamese and English. These offer stronger protection by:
Prohibiting factories from disclosing or sharing your designs
Preventing them from using your design for any purpose
Stopping them from approaching your customers or bypassing you
3. Vet Your Manufacturers Thoroughly
Research your potential suppliers’ track record. Ask for references and background on past clients. Avoid vendors known for producing similar or identical designs for competing brands.
4. Compartmentalize Production
If your product has proprietary elements, consider dividing production among multiple factories. For instance, one supplier may produce wood frames while another handles upholstery. This reduces the chance of a single manufacturer replicating your full product.
5. Monitor & Enforce
Stay involved throughout the process with regular inspections, order tracking, and third-party audits. Having boots on the ground in Vietnam or hiring a local partner, can significantly reduce IP risk.
IP protection is a foundational element of successful furniture outsourcing. With the right legal safeguards and proactive management, you can confidently bring your products to life in Vietnam, without compromising your brand or designs.
